General terms and conditions of Grabenhorst & Vetterlein GmbH
§ 1 Scope of the General Terms and Conditions, Customer General Terms and Conditions, General
(1) These General Terms and Conditions of Grabenhorst & Vetterlein GmbH (G&V GmbH) apply to all legal transactions of G&V GmbH with its customers.
(2) The General Terms and Conditions apply in particular to contracts for the sale and/or delivery of movable items (hereinafter also: “goods”), regardless of whether G&V GmbH produces the goods itself or purchases them from suppliers (§§ 433, 651 BGB). The General Terms and Conditions in their respective version also apply as a framework agreement for future contracts for the sale and/or delivery of movable items with the same customer, without G&V GmbH having to refer to them again in each individual case; In this case, G&V GmbH will inform the customer immediately about changes to its terms and conditions.
(3) The customer’s general terms and conditions do not become part of the contract even if G&V GmbH is aware of them. The general terms and conditions of G&V GmbH apply exclusively. Something different only applies if G&V GmbH expressly agrees in writing to the validity of the customer’s general terms and conditions in whole or in part.
(4) Customers within the meaning of these General Terms and Conditions are both entrepreneurs and consumers:
(a) An entrepreneur within the meaning of these General Terms and Conditions is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction with G&V GmbH, is in the exercise of their commercial or independent professional activity activity.
(b) A consumer within the meaning of these General Terms and Conditions is any natural person who concludes a legal transaction with G&V GmbH that cannot be attributed to their commercial or independent professional activity.
(5) Legally relevant declarations and notifications that must be made by the customer to G&V GmbH after the contract has been concluded (e.g. setting deadlines, notifications of defects, declarations of withdrawal or reduction) must be in text form to be effective.
(6) References to the validity of legal regulations only have clarifying meaning. Even without such clarification, the statutory provisions apply unless they are directly changed or expressly excluded in these General Terms and Conditions.
§ 2 Conclusion of contract
(1) By ordering goods, the customer declares bindingly that he wants to purchase the ordered goods. The order represents the contractual offer aimed at concluding the contract. The offering of goods and services by G&V GmbH in catalogs, advertising brochures, on the Internet, etc., however, does not constitute a contractual offer.
(2) G&V GmbH is entitled to accept the contractual offer from Accept customers within 2 weeks of receipt (contract acceptance). Acceptance of the contract can be declared in writing or tacitly by delivering the goods to the customer.
(3) In cases in which, without prejudice to the above provisions (1) and (2) , a contractual offer from G&V GmbH can be assumed, this contractual offer is non-binding, i.e. G&V GmbH is entitled to revoke the offer until the customer accepts it.
(4) If the customer, who is a consumer, places the order electronically via a tele or media service used by G&V GmbH for the purpose of concluding the contract (electronic commerce in accordance with Section 312 i BGB), G&V GmbH immediately confirms receipt of the order electronic way. This does not apply if the contract is concluded exclusively through individual communication. Confirmation of receipt of the order does not constitute a binding acceptance of the contractual offer contained in the order. However, confirmation of receipt can be linked to the express declaration of acceptance by G&V GmbH.
(5) The regulations of Section 312 i Paragraph 1 Sentence 1 Nos. 1 to 3 and Sentence 2 BGB do not apply to customers who are entrepreneurs.
§ 3 Delivery period and delay in delivery
(1) Delivery times or delivery dates are agreed separately between the customer and G&V GmbH in each individual case or are specified by G&V GmbH when accepting the order. Delivery times begin from the conclusion of the contract, provided that all of the customer’s templates, documents, etc. necessary to carry out the order are available to G&V GmbH at this point. If the templates etc. are not available to G&V GmbH or are not available in full when the contract is concluded, the delivery times only begin when all or the last required templates etc. are received by G&V GmbH.
(2) If G&V GmbH presents the customer with a preliminary sample of the goods to be delivered before production, this must be confirmed by the customer for production. The customer must confirm this immediately, but at the latest by the date communicated by G&V GmbH. G&V GmbH is not responsible for any exceeding of delivery times or an agreed delivery date due to late confirmation of the preliminary sample by the customer. As a result, it will not be in default with its delivery obligation. The delivery period is extended by the loss of time for which the customer is responsible. When calculating the extension of the deadline, weekends and public holidays are not taken into account.
(3) The above (2) applies accordingly if the start of production and/or delivery of the goods is delayed due to the production of another preliminary sample, unless G&V GmbH is responsible for this. In addition, (2) above applies to all other cases in which the customer fails to provide the cooperation required for the production or delivery of the goods or does so late (e.g. submission of necessary documents, templates, etc.; carrying out necessary coordination).
(4) If G&V GmbH is unable to meet binding delivery deadlines for reasons for which it is not responsible (non-availability of the service), the buyer will be informed of this immediately and the expected new delivery deadline will be communicated at the same time. If the service is not available within the new delivery period, G&V GmbH is entitled to withdraw from the contract in whole or in part; Any consideration already provided by the buyer will be reimbursed immediately. A case of non-availability of the service in this sense applies in particular to non-timely self-delivery by suppliers if G&V GmbH has concluded a congruent hedging transaction, neither G&V GmbH nor the respective supplier is at fault or if G&V GmbH is not obliged to procure in the individual case . The buyer has no claim for damages against G&V GmbH.
(5) The occurrence of a delay in delivery on the part of G&V GmbH is determined in accordance with the legal regulations. If G&V GmbH does not comply with the agreed delivery times and delivery dates, the customer must set an appropriate grace period. Only after the grace period has expired can the customer assert any claims and rights due to non-compliance with delivery deadlines.
§ 4 Condition of the goods, reservation of changes, excess and short delivery
(1) Only the manufacturer’s product description is agreed as the contractual quality of the goods. Anything else only applies if G&V GmbH expressly agrees in writing to a different or additional quality agreement.
(2) Public statements, praise or advertising by the manufacturer or his assistants or G&V GmbH and their assistants regarding certain properties of the goods are irrelevant to the contractual conformity of the goods. Deviations in the goods from this do not constitute a material defect.
(3) G&V GmbH does not provide the customer with any quality, durability or other guarantee in the legal sense. Manufacturer guarantees remain unaffected by this regulation.
(4) G&V GmbH has the right to make technical changes/deviations as well as changes/deviations in shape, color and/or weight, provided these are customary deviations and/or this does not significantly affect the functionality and usability of the goods become. This does not apply if the changes/deviations are unreasonable for the customer for other reasons, taking into account the interests of G&V GmbH.
(5) G&V GmbH has the right to make excess or short deliveries of up to 10% of the originally ordered quantity, provided this is due to production technology.
§ 5 Place of performance, transfer of risk, acceptance, delay in acceptance
(1) If the customer is an entrepreneur, merchant, legal entity under public law or a special fund under public law, the place of fulfillment and performance for all contractual obligations of G&V GmbH and the customer is the registered office of G&V GmbH. At the customer’s request and expense, the goods will be sent to another destination (shipment purchase). Unless otherwise agreed, G&V GmbH is entitled to determine the type of shipment itself (in particular the transport company, shipping route, packaging).
(2) If the customer is an entrepreneur or one of the persons named above (1) , when shipping the goods, the risk of accidental loss and accidental deterioration passes when the goods are delivered to the freight forwarder, the freight carrier or the person otherwise designated to carry out the shipment or institution to the entrepreneur etc. If acceptance has been agreed, this is decisive for the transfer of risk. Otherwise, the statutory provisions of contract law apply accordingly to an agreed acceptance.
(3) If the customer is a consumer, the risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover. The same applies when the goods are picked up by the entrepreneur, etc.
(4) Handover or acceptance is the same if the customer is in default of acceptance.
(5) If the buyer defaults on acceptance, fails to cooperate or if G&V GmbH’s delivery is delayed for other reasons for which the buyer is responsible, G&V GmbH is entitled to demand compensation for the resulting damage, including additional expenses (e.g. storage costs). . For this purpose, the buyer will be entitled to a flat-rate compensation of 0.5% of the net invoice amount for each completed week of delay, but a total of a maximum of 10% of the net invoice value starting with the delivery period or – in the absence of a delivery period – with the notification of readiness for dispatch the goods will be invoiced. Proof of greater damage and G&V GmbH’s legal claims (in particular reimbursement of additional expenses, appropriate compensation, termination) remain unaffected; However, the flat rate must be offset against further monetary claims. The buyer is permitted to prove that G&V GmbH suffered no damage at all or only suffered significantly less damage than the above flat rate.
§ 6 Prices and payment conditions
(1) Unless otherwise agreed between the customer and G&V GmbH in individual cases, the current prices of G&V GmbH at the time the contract is concluded apply, namely ex warehouse, plus statutory sales tax.
(2) When purchasing by mail order (Section 4 Paragraph 1), the customer bears the transport costs from the warehouse and the costs of any transport insurance requested by the customer. The shipping costs consist of the costs calculated by the freight forwarder, the transport carrier or the other person or institution designated to carry out the shipment plus a reasonable flat rate for expenses. The flat rate expense allowance is set by G&V GmbH at its reasonable discretion (§ 315 BGB). The customer is responsible for any customs duties, fees, taxes and other public charges.
(3) Unless otherwise agreed between the customer and G&V GmbH, the price of the goods including any shipping costs is due 14 calendar days after receipt of the goods. Otherwise, the payment conditions of G&V GmbH apply according to the order confirmation. For new customers or if a certain delivery value is exceeded, G&V GmbH reserves the right to charge a deposit/advance payment; in individual cases, this may be due before production begins or the goods are dispatched.
(4) When the above payment deadline expires, the customer is in default. During the delay, interest is to be paid on the purchase price at the applicable statutory default interest rate. If the customer is an entrepreneur, if the payment deadline is exceeded, he must pay interest on the outstanding payment amount, even without a reminder. The interest rate is 8% pa above the base interest rate. We reserve the right to assert further damages caused by default. Our claim to the commercial maturity interest (§ 353 HGB) remains unaffected from merchants.
(5) The customer is only entitled to offsetting or retention rights to the extent that his claim has been legally established or is undisputed.
(6) If it becomes apparent after conclusion of the contract that G&V GmbH’s claim to the purchase price is jeopardized by the customer’s inability to pay (e.g. by applying for the opening of insolvency proceedings), G&V GmbH is obliged to refuse performance in accordance with the statutory provisions and – if necessary after setting a deadline – entitled to withdraw from the contract (§ 321 BGB). In the case of contracts for the production of unreasonable items (custom-made items), G&V GmbH can declare withdrawal immediately; The legal regulations regarding the dispensability of setting a deadline remain unaffected.
(7) If the customer grants G&V GmbH a SEPA basic mandate / SEPA company mandate, the direct debit will be collected 10 days after the invoice date. The period for advance notification (pre-notification) will be shortened to 5 days. The customer agrees to ensure that the account is covered. Costs that arise due to non-payment or reversal of the direct debit are borne by the customer as long as the non-repayment or reversal was not caused by G&V GmbH.
§ 7 Data protection
G&V GmbH collects and stores the customer’s data necessary for business transactions. When processing the customer’s personal data, G&V GmbH observes the statutory data protection regulations. Further details can be found in the data protection declaration available on our website at https://www.grabenhorstundvetterlein.de/datenschutz/ , as well as in our mandatory information on the GDPR stored there. Upon request, the customer will receive information about the personal data stored about them at any time.
§ 8 Pattern
Samples requested by the customer will be invoiced by G&V GmbH. It is not possible to return the samples to
G&V GmbH.
§ 9 Retention of title, advance assignment, right of withdrawal
(1) In the case of contracts with entrepreneurs, G&V GmbH reserves ownership of the goods until all of its current and future claims from the entire ongoing business relationship have been settled in full. G&V GmbH and the entrepreneur agree that the transfer of ownership of the goods is initially conditional and ownership of the goods will only be transferred to the entrepreneur once all claims have been settled in full.
(a) The entrepreneur is entitled to resell the goods in the normal course of business (authorization to resell). He hereby assigns to G&V GmbH all existing and future claims that arise from the resale of the goods against a third party (advance assignment). G&V GmbH hereby accepts the assignment. The entrepreneur is authorized to collect the claims as long as he properly meets his payment obligations from the entire ongoing business relationship and does not experience financial collapse. However, he is not permitted to pledge, assign as security or assign as security. The entrepreneur is obliged to notify G&V GmbH immediately in writing if and to the extent that third parties access the goods belonging to G&V GmbH. The entrepreneur is obliged to secure the rights of G&V GmbH when reselling reserved goods on credit.
(b) The resale authorization granted above (a) does not include resale to customers of the entrepreneur who have excluded or restricted the assignment of the payment claims against them. The same applies if the entrepreneur prevents the advance assignment of his customer claims to G&V GmbH through a contractual clause in his general terms and conditions.
(c) At the request of G&V GmbH, the entrepreneur must provide it with the information required for collection regarding the assigned claims and disclose the assignment to his debtors.
(d) Any treatment, processing or transformation of the goods carried out by the entrepreneur is always carried out in the name and on behalf of G&V GmbH. If items that do not belong to G&V GmbH are processed, G&V GmbH acquires co-ownership of the newly created item in proportion to the value of the goods delivered by it to the value of the other processed items. The same applies if the goods are mixed with other items that do not belong to G&V GmbH. G&V GmbH and the entrepreneur agree that the ownership or co-ownership of G&V GmbH in the newly created or mixed item is transferred to him under the suspensive condition of full settlement of all claims of G&V GmbH against the entrepreneur. Until the condition occurs, the entrepreneur has an expectant right to the property.
(e) If the amount of the realizable claims assigned by the entrepreneur to G&V GmbH amounts to more than 110% of the amount of all claims of G&V GmbH against the entrepreneur, the entrepreneur has a claim against G&V GmbH for release or reassignment of the claims assigned claims in the amount exceeding 110%. It is at the discretion of G&V GmbH which of the claims or parts of the claim it releases.
(f) Otherwise, the following regulations under (3) to (5) apply .
(2) In the case of contracts with consumers, G&V GmbH reserves ownership of the goods until the price of the goods has been paid in full, including shipping costs plus other additional claims (e.g. interest). The consumer and G&V GmbH agree that the transfer of ownership of the goods is conditional and ownership will only be transferred to the consumer upon full payment. Otherwise, the following regulations apply under (3) to (5) inclusive .
(3) The customer is obliged to inform G&V GmbH immediately of any access by third parties to the goods (e.g. seizure) or of their damage or destruction. There is also an obligation to notify if there is a change in ownership of the goods or if the customer changes residence or company headquarters.
(4) The customer is obliged to store the goods free of charge for G&V GmbH until full payment has been made and to treat them with care.
(5) If the customer behaves in breach of contract, in particular if payment is delayed or one of the obligations set out in this paragraph of the General Terms and Conditions is breached, G&V GmbH is entitled to withdraw from the contract and demand return of the goods. The customer bears the resulting costs.
(6) Tools, including items protected for clients, generally remain our sole property. This also applies if cost subsidies, tool cost shares or whatever they are called were paid by the client for tools or these cost shares are included in the item price. If the collaboration ends, the client is also not entitled to reimbursement of costs for the tools or devices or parts thereof.
§ 10 Offsetting, right of retention
(1) The customer who is not a consumer can only offset if his claim against G&V GmbH has been legally established or is undisputed.
(2) The customer can only exercise a right of retention if his claim is based on the same contractual relationship.
§ 11 Right of withdrawal
(1) The customer only has a right of cancellation if this is the case according to legal regulations.
(2) If the customer is a consumer and he exercises a right of withdrawal to which he is legally entitled, he is obliged to return the goods if the goods can be sent by parcel. In these cases, the consumer must bear the regular shipping costs. This does not apply if the goods delivered do not correspond to those ordered. In this case and all other cases, G&V GmbH bears the costs of the return.
(3) If the consumer exercises a statutory right of withdrawal to which he is entitled, he must pay G&V GmbH compensation for any deterioration caused by the intended use of the goods. This does not apply if the deterioration is based solely on the necessary examination of the matter. The consumer can therefore avoid the above obligation to pay compensation by carefully, carefully and necessary examining the matter.
(4) Unless otherwise stated in the above paragraphs, the statutory provisions on the right of withdrawal apply.
§ 12 Notification of defects, exclusion periods for defect claims and defect rights
If the customer is an entrepreneur, he must report obvious defects to G&V GmbH in writing within 10 calendar days of receipt of the goods. Deadline is sufficient for the timely dispatch. After the deadline has expired, the assertion of claims for defects and defect rights is excluded (exclusion period). This does not apply if G&V GmbH fraudulently conceals the defect. With regard to non-obvious defects, the statutory provisions on inspection and notification obligations apply.
§ 13 Customer claims for defects
(1) Claims for defects and defect rights are excluded if the customer , who is not a consumer, has not complied with the exclusion periods for reporting defects in accordance with Section 12 of these General Terms and Conditions.
(2) Furthermore, G&V GmbH’s warranty for the goods is determined in accordance with the statutory provisions with the following provisions:
(a) If the customer has claims for defects, these are initially based on subsequent performance, i.e. elimination of the defect (repair) or delivery of defect-free goods, limited. If the customer is an entrepreneur, G&V GmbH has the choice between the two types of supplementary performance. If the customer is a consumer, he or she has the right to choose. However, G&V GmbH can refuse the type of supplementary performance chosen by the consumer under the legal requirements.
(b) If supplementary performance in accordance with (1) fails, the customer has the right to either reduce the price of the goods (reduction) or cancel the contract (withdrawal). The right to compensation instead of performance is excluded. This applies regardless of whether this is to be asserted alone or in addition to other claims or rights based on defects (e.g. withdrawal). Any claim for damages due to consequential damage remains unaffected by the above provisions.
(3) If the goods are intended for assembly and the customer, who is an entrepreneur, receives defective assembly instructions, G&V GmbH is only obliged to deliver assembly instructions that are free of defects. This does not apply if the goods have been assembled without errors despite inadequate assembly instructions or if these do not stand in the way of error-free assembly.
(4) Production-related excess or short deliveries of up to 10% of the ordered quantity do not constitute a defect. In these cases, § 3 (5) of these General Terms and Conditions applies.
§ 14 Other liability
(1) Für Schäden, die nicht aus der Verletzung des Lebens, des Körpers oder der Gesundheit resultieren, haftet die G&V GmbH nur, wenn sie auf einer grob fahrlässigen oder vorsätzlichen Pflichtverletzung von ihr, einem ihrer gesetzlichen Vertreter oder Erfüllungsgehilfen beruhen. Entsprechendes gilt für ein grob fahrlässiges oder vorsätzliches Auswahl und/oder Überwachungsverschulden im Hinblick auf Verrichtungsgehilfen. Eine Haftung für Verrichtungsgehilfen besteht im Übrigen nicht. Diese Ansprüche verjähren entsprechend den gesetzlichen Bestimmungen.
(2) Ist der Kunde Unternehmer, ist der Schadenersatzanspruch der Höhe nach auf den Schaden beschränkt, der nach der Art der Ware und dem konkret zugrundeliegenden Rechtsgeschäft typischerweise und vorhersehbar entsteht.
(3) Schadenersatzansprüche wegen Mängeln und Mangelfolgeschäden verjähren in einem Jahr nach Ablieferung der Ware beim Kunden. Dies gilt nicht, wenn die G&V GmbH den Mangel arglistig verschwiegen hat, sie grob fahrlässiges oder vorsätzliches Verhalten im Sinne vorstehend (1) zu vertreten hat oder wenn die Schäden aus einer Verletzung des Lebens, des Körpers oder der Gesundheit resultieren.
(4) Der Ausschluss von Schadenersatzansprüchen gemäß § 4, § 14 und § 15 (2) bleibt von vorstehenden Regelungen unberührt.
(5) Vorstehende Regelungen (1) bis einschließlich (5) gelten sowohl für vertragliche als auch vorvertragliche sowie deliktische Schadenersatzansprüche.
(6) Vorstehende Regelungen (1) bis einschließlich (6) gelten entsprechend auch im Verhältnis der gesetzlichen Vertreter oder Erfüllungsgehilfen der G&V GmbH zum Kunden.
§ 15 Verjährung der Mängelansprüche
(1) Ist der Kunde Unternehmer, verjähren seine Mängelansprüche bezüglich neuer und gebrauchter Waren in einem Jahr ab Ablieferung. Soweit eine Abnahme vereinbart ist, beginnt die Verjährung mit der Abnahme. Ist der Kunde Verbraucher, verjähren seine Mängelansprüche bezüglich neuer Waren in zwei Jahren, bei gebrauchten Waren in einem Jahr. Abweichend hiervon gilt bezüglich Schadenersatzansprüchen wegen Mängeln und Mangelfolgeschäden die Verjährungsregelung unter § 13 dieser AGB.
(2) Vorstehend (1) gilt nicht, wenn die G&V GmbH einen Mangel arglistig verschwiegen hat. In diesem Fall verjähren die Ansprüche in der gesetzlichen Regelverjährungsfrist.
(3) Der Beginn der Verjährung bestimmt sich jeweils nach den gesetzlichen Vorschriften.
§ 16 Schutz von Eigentums- und Urheberrechten
(1) Die G&V GmbH behält sich an sämtlichen künstlerischen Arbeiten sowie den endgültig verwendeten Designs von Abbildungen, Zeichnungen, Artikeln und sonstigen Unterlagen die Eigentums- und Urheberrechte vor. Sie dürfen von Kunden oder sonstigen Dritten nur mit ausdrücklicher schriftlicher Zustimmung der G&V GmbH verwendet werden.
(2) Bei Missachtung der Eigentums- und Urheberrechte durch den Kunden besteht ein Schadenersatzanspruch der G&V GmbH. Als Schadenersatzpauschale werden 10 % des Warenpreises, mindestens jedoch € 400,00, vereinbart, sofern die G&V GmbH dem Kunden keinen höheren Schaden nachweist. Dem Kunden ist der Nachweis gestattet, dass der G&V GmbH ein Schaden nicht oder nur in wesentlich niedrigerer Höhe als vorstehende Schadenersatzpauschale entstanden ist.
(3) Die G&V GmbH ist berechtigt, im Kundenauftrag erstellte Artikel zu Werbezwecken oder als Muster zu verwenden und abzubilden. Die G&V GmbH ist zudem berechtigt, an geeigneter Stelle ihren Firmennamen anzubringen.
§ 17 Copyright, Urheberrechte, Lizenzen
Für die Prüfung der Rechte der Vervielfältigung aller Unterlagen ist der Käufer allein verpflichtet. Für Verletzungen von Copyrights, Urheberrechten und Lizenzen übernimmt die G&V GmbH bei Auftragsarbeiten keinerlei Haftung und verlangt auch keinen Nachweis des Käufers über die Rechte an den verwendeten Designs. Der Käufer haftet allein, wenn durch die Ausführung seines Auftrags Rechte, insbesondere Urheberrechte Dritter verletzt werden. Der Käufer hat den Verkäufer von allen Ansprüchen Dritter wegen einer solchen Rechtsverletzung freizustellen.
§ 18 Abtretung
Die G&V GmbH ist berechtigt, sämtliche Ansprüche gegen den Kunden, auch wenn dieser Verbraucher ist, an Dritte abzutreten.
§ 19 Rechtswahl und Gerichtsstand
(1) The law of the Federal Republic of Germany applies to these General Terms and Conditions and all legal relationships between G&V GmbH and the customer, excluding international uniform law, in particular the UN Convention on Contracts for the International Sale of Goods. Requirements and effects of the retention of title in accordance with Section 8 of the General Terms and Conditions are subject to the law at the respective location of the item, to the extent that the choice of law made in favor of German law is inadmissible or ineffective.
(2) If the customer is a merchant within the meaning of the Commercial Code, a legal entity under public law or a special fund under public law, the exclusive – including international – place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship is the German registered office of G&V GmbH, insofar as follows (2) nothing else results. This also applies to tortious claims. However, G&V GmbH is also entitled to bring legal action at the customer’s general place of jurisdiction.
(3) The above (1) does not apply if the legal dispute does not concern property claims that are assigned to the local courts without regard to the value of the subject matter of the dispute or if an exclusive place of jurisdiction is established for the lawsuit or the payment order procedure.
(4) If the customer, who does not need to be an entrepreneur or merchant or another person within the meaning of (1) above, does not have a general place of jurisdiction in Germany, then (1) and (2) above apply accordingly. The same applies if the customer who is to be sued moves his place of residence or usual place of residence out of Germany after the conclusion of the contract or his place of residence or usual place of residence is not known at the time the action is filed.
